1. Identification of Parties & Agreement
These Terms and Conditions ("Agreement") constitute a legally binding contract between Pep Pals ("Seller," "we," "us," or "our") and the purchasing party ("Buyer," "you," or "your"). By placing an order, completing a purchase, or checking the acknowledgment box at checkout, the Buyer unconditionally agrees to be bound by all terms set forth herein.

If you do not agree to these terms in their entirety, you must not purchase from this website.

2. Intended Use & Strict Restrictions
All products sold by Pep Pals are strictly intended for in-vitro laboratory research purposes only. "In-vitro" means research conducted outside of a living organism, in a controlled laboratory environment.

These products are NOT drugs, food products, dietary supplements, or medical devices as defined by the FDA or any other regulatory body.
These products are NOT approved for human or animal consumption, injection, topical application, or any form of in-vivo administration.
These products are NOT intended for therapeutic, diagnostic, preventative, or medicinal purposes.
The Buyer agrees NOT to resell these products as drugs, supplements, or for any purpose other than qualified laboratory research.
The Seller does not provide, and expressly refuses to provide, instructions, guidance, or information regarding human dosage, reconstitution for personal use, or self-administration.
Any order placed with the intent of human or animal use will be immediately cancelled. The Seller reserves the right to refuse service to any individual at any time for any reason.

3. Buyer Verification & Professional Status Warranty
By completing a purchase, the Buyer expressly represents, warrants, and certifies that:
- They are a trained research professional, scientist, or qualified researcher aged 18 years or older.
- They are affiliated with or operating a legitimate research institution, laboratory, or facility.
- They possess or have access to the appropriate laboratory equipment, including but not limited to fume hoods, personal protective equipment (PPE), biosafety cabinets, and proper chemical storage facilities.
- They have reviewed and understand the Safety Data Sheets (SDS/MSDS) relevant to the chemicals being purchased.
- They are fully aware of the hazards, proper handling protocols, and disposal requirements associated with research chemicals.
- They are not purchasing on behalf of any individual for personal or consumer use.
- All information provided to the Seller is truthful, accurate, and complete.

4. Assumption of Risk
The Buyer acknowledges and accepts that research chemicals carry inherent risks when handled improperly. The Buyer assumes full and complete responsibility for:
- The safe and proper handling, storage, and disposal of all purchased products in accordance with applicable federal, state, and local regulations.
- Any injury, illness, property damage, or legal consequence arising from the Buyer's use, misuse, storage, handling, or disposal of the products.
- Ensuring that all personnel who handle the products in the Buyer's facility are properly trained and equipped.
- Compliance with all OSHA, EPA, and applicable regulatory guidelines regarding hazardous material handling.

5. Indemnification & Hold Harmless
The Buyer agrees to indemnify, defend, and hold harmless Pep Pals, its owners, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) the Buyer's purchase, possession, handling, storage, use, or disposal of the products; (b) any breach of this Agreement by the Buyer; (c) any violation of applicable law by the Buyer; or (d) any third-party claim resulting from the Buyer's actions or omissions in connection with the products.

6. Compliance with Laws
It is the Buyer's sole responsibility to determine whether the purchase, possession, and use of any product is legal in their jurisdiction. Regulations governing research chemicals vary by country, state, and locality.

Pep Pals makes no representation that any product is legal for purchase or use in any particular location. The Buyer assumes all risk of compliance with local, state, federal, and international laws. The Seller shall not be liable for any legal consequences resulting from the Buyer's failure to comply with applicable law.

7. Shipping, Customs & Returns
Shipping: Pep Pals is not responsible for any seizure, confiscation, delay, or loss of products by customs authorities, law enforcement, or postal services. By placing an order, the Buyer accepts full responsibility for import regulations in their jurisdiction. We will make every effort to ship orders within 48 hours of confirmed payment.

All Sales Final: Due to the strict temperature, storage, and handling requirements of research chemicals — including but not limited to cold-chain peptides — all sales are final. No refunds, returns, or exchanges will be accepted once an order has been placed. This policy is in place to prevent contamination and ensure research integrity.

Damaged Orders: If your order arrives damaged, we will work with you to make it right. Please send clear photographic evidence of the damaged product(s) to information@pep-pals.com within 48 hours of delivery. Upon review, eligible damaged items may be replaced at our discretion.

8. Order Cancellation & Right to Refuse Service
Pep Pals reserves the unconditional right to cancel any order and permanently ban any customer who, in the Seller's sole discretion:
- Inquires about reconstitution protocols, injection techniques, or dosing for personal use.
- References weight loss, muscle gain, anti-aging, or any other personal health outcome.
- Implies, suggests, or states an intention to self-administer or administer to another person or animal.
- Requests advice regarding side effects, cycles, or personal health interactions.
- Misrepresents their professional status or research credentials.

In the event of cancellation, the Buyer will receive a full refund. No further business will be conducted with banned individuals.

9. Disclaimer of Warranties
All products are sold "AS IS" and "AS AVAILABLE" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Pep Pals does not warrant that products will meet the Buyer's specific research requirements or that results obtained from use will be accurate or reliable.

10. Limitation of Liability
To the maximum extent permitted by applicable law, Pep Pals's total liability to the Buyer for any claim arising under this Agreement shall not exceed the amount paid by the Buyer for the specific product giving rise to the claim. In no event shall Pep Pals be liable for indirect, incidental, special, consequential, or punitive damages of any kind.

11. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be resolved exclusively through binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted in English, in the State of Alabama. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Buyer waives any right to a jury trial or to participate in a class action lawsuit.

12. Modifications
Pep Pals reserves the right to modify these Terms and Conditions at any time without prior notice. Continued use of the website or placement of orders following any modification constitutes acceptance of the revised terms. It is the Buyer's responsibility to review these terms prior to each purchase.
